Allgemeine Geschäftsbedingungen der IFEN GmbH für Kaufverträge inkl. Produktsupport

 

1.        Geltung der Geschäftsbedingungen

1.1        Diese Geschäftsbedingungen gelten nur für Verträge mit Kunden, die nicht Verbraucher i. S. d. § 13 BGB sind. Sie umfassen alle gegenwärtigen und zukünftigen Verträge zwischen der IFEN GmbH und dem Kunden, die den Kauf von Hardware, der Überlassung von Software und damit zusammenhängende entgeltliche Supportleistungen zum Inhalt haben.

1.2        Allgemeine Geschäftsbedingungen des Kunden werden ausdrücklich nicht Vertragsinhalt, auch wenn ihnen seitens der IFEN GmbH nicht ausdrücklich widersprochen wird.

2.           Vertragsschluss und Leistungen

2.1        Alle Angebote sind freibleibend. Ein Vertrag mit der IFEN GmbH kommt zustande, wenn die IFEN GmbH den Auftrag des Kunden in Textform bestätigt.

2.2       Vertragliche Hauptleistungspflicht der IFEN GmbH ist beim Kauf von Hardware deren Übereignung und bei der Überlassung von Software deren Zurverfügungstellung auf einem Datenträger oder als Download, sowie der Einräumung eines Nutzungsrechts nach Ziffer 5. Zusätzlich wird nach Wahl des Kunden ein Dienstvertrag abgeschlossen, der Supportleistungen zum Gegenstand hat.

3.           Vertrag über Supportleistungen

3.1        Die Erbringung von Supportleistungen im vereinbarten Zeitraum erfolgt grundsätzlich an den Niederlassungen der IFEN GmbH.

3.2        Bugfixes an Hard- und Software werden im Rahmen der Gewährleistung nach Ziffer 7 für die ersten 12 Monate ab Erwerb der Hard- oder Software und ansonsten während der Dauer des Vertrages über Supportleistungen unentgeltlich zur Verfügung gestellt.

3.3    Beim Erwerb von Anwendungssoftware umfassen die Supportleistungen die Zurverfügungstellung neuer Softwareversionen („Releases“). Die Bereitstellung erfolgt installationsfertig nach Wahl des Kunden durch Übersendung eines Datenträgers (CD-ROM) oder als Download. Zusätzlich wird eine Support-Hotline per E-Mail über eine im Einzelnen zu benennende, Produkt-spezifische Email-Adresse angeboten.

3.4        Beim  Erwerb von  Hardware umfassen  die  Supportleistungen die  Zurverfügungstellung neuer Firmware-Versionen. Die IFEN GmbH behält sich vor, diese auf einem Datenträger oder als Download zur Verfügung zu stellen. Zudem wird eine Support-Hotline per E-Mail über   eine im Einzelnen zu benennende, Produkt-spezifische Adresse mit der Möglichkeit einer Ferndiagnose angeboten.

3.5        Ist  eine  Reparatur/Fehlerbehebung vor  Ort  erforderlich, die  nicht  auf  eine  berechtigte Mängelrüge nach Ziffer 7.3 zurückzuführen ist, so sind hierdurch entstehende Kosten in Form von Arbeitsaufwand (nach den jeweils gültigen Tagessätzen der IFEN GmbH), Reisekosten sowie anfallender Spesen vom Kunden gesondert zu tragen. Der Kunde kann mit der IFEN GmbH vereinbaren, dass die Hardware an die IFEN GmbH zur Reparatur/Fehlerbehebung übersandt wird. Übersendung und Rücksendung erfolgen auf Kosten und Gefahr des Kunden.

3.6        Ist ein Vertrag über Supportleistungen geschlossen worden, so läuft dieser zunächst 12 Monate. Er verlängert sich um jeweils weitere 12 Monate, wenn er nicht unter Einhaltung einer Frist von einem Monat zum jeweiligen Vertragsende gekündigt wird. Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt von dieser Regelung unberührt.

3.7        Die IFEN GmbH erbringt ihre Supportleistungen nach dem aktuellen Stand der Technik und durch Personal, das für die Erbringung der vereinbarten Leistung qualifiziert ist. Der Kunde hat keinen  Anspruch  auf  die  Leistungserbringung durch  einen  bestimmten  Mitarbeiter  der  IFEN GmbH. Während der Auftragserledigung kann die IFEN GmbH eine eingesetzte Person durch eine andere ersetzen.

3.8       Der Kunde kann den Austausch von Personal nur verlangen, wenn ein wichtiger Grund vorliegt, der ihm die Fortsetzung der Leistungsannahme unzumutbar macht. Die Kosten für den Austausch gehen dann zu Lasten der IFEN GmbH.

3.9        Für erbrachte Leistungen der IFEN GmbH, die über die in Ziffern 3.3 und 3.4 genannten Supportleistungen hinausgehen, sind von der IFEN GmbH Nachweise anzufertigen. Für den Nachweis reicht es aus, dass die Leistungsnachweise vom Kunden oder dessen Mitarbeiter oder dessen anwesenden Erfüllungsgehilfen durch Namensunterzeichnung bestätigt werden. Bei einer Dienstleistung die nicht beim Kunden selbst erfolgt, sondern per Telefon, über Internet oder in anderer vom Kunden örtlich getrennter Form erbracht wird, reicht der Leistungszeitnachweis mit der zusätzlichen Angabe des Leistungsinhalts und des Mitarbeiters der IFEN GmbH für den Nachweis aus.

4.           Vergütung und Zahlungsbedingungen

4.1        Alle Preise verstehen sich ab Werk zuzüglich der jeweiligen gesetzlichen Mehrwertsteuer, sowie etwaiger Versandkosten. Sämtliche Rechnungen der IFEN GmbH sind bei Zugang sofort zur Zahlung fällig. Etwaige Angaben eines Zahlungsziels auf der Rechnung sind unverbindlich und schieben die Fälligkeit nicht hinaus.

4.2        Ist die Erfüllung des Zahlungsanspruches wegen einer nach Vertragsschluss eingetretenen oder bekannt gewordenen Verschlechterung der Vermögensverhältnisse des Kunden gefährdet, so kann die IFEN GmbH Vorauszahlung und sofortige Zahlung aller offenen, gestundeten oder noch nicht fälligen Forderungen verlangen. Die IFEN GmbH kann in diesen Fällen bereits bestellte, aber noch nicht ausgelieferte Soft- und Hardwareprodukte bis zur Zahlung zurückbehalten, sowie die  Weiterarbeit  an  noch  laufenden  Aufträgen  aus  der  Geschäftsbeziehung einstellen.  Diese Rechte stehen der IFEN GmbH auch zu, wenn der Kunde trotz einer verzugsbegründenden Mahnung keine Zahlung leistet.

4.3        Der Kunde kann seine Rechte aus einer Geschäftsbeziehung mit der IFEN GmbH nur mit schriftlicher Einwilligung der IFEN GmbH abtreten. Eine Aufrechnung ist nur mit anerkannten oder rechtskräftig festgestellten Gegenforderungen möglich.

5.           Nutzungsrechte

5.1        Die Firma räumt dem Kunden an der Anwendungssoftware nebst deren Dokumentation ein nicht exklusives Nutzungsrecht ein. Das Nutzungsrecht bezieht sich nur auf die in der Auftragsbestätigung genannte Softwareversion im Objektcode. Der Kunde darf nur im Rahmen der vertragsgemäßen Benutzung oder sofern Sicherungskopien erforderlich sind, die Software vervielfältigen oder kopieren. Für die Vervielfältigung oder Kopie der Dokumentation oder der Software ist die schriftliche Zustimmung der IFEN GmbH erforderlich. Im Falle der ganz oder teilweisen  Vervielfältigung  oder  Kopie  hat  der  Kunde  den  Copyrightvermerk, Seriennummer, sowie sonstige Merkmale zur Identifikation der Programme und Hersteller und alle sonstigen Hinweise auf Schutzrechte in gleicher Weise anzubringen wie auf der Originalversion der Software. Dies gilt auch für die Datenträger. Eine Rückumwandlung oder die Umwandlung in eine andere Ausdruckform („Reverse Engineering“, etwa durch Disassemblierung und/oder Dekompilierung) ist dem Kunden grundsätzlich untersagt.

5.2        Der  Kunde  darf  nur  nach  schriftlich  erteilter  Zustimmung  durch  die  IFEN  GmbH  die Software Dritten ganz oder teilweise zur Nutzung überlassen, Nutzungsrechte einräumen oder sonst zugänglich machen. Dies gilt nicht, wenn die Software für eigene Zwecke des Kunden durch Mitarbeiter oder Beauftrage genutzt wird und der Kunde Sorge dafür trägt, dass die Nutzungsbestimmungen auch für diese Personen verbindlich sind.

5.3        Der Kunde ist verpflichtet, auf Anforderung durch die Firma mitzuteilen, an welchem Ort die  Software  genutzt  wird,  die  Anzahl  der  erstellten  Kopien  und  welche  Mitarbeiter  oder Beauftragte nach Ziffer 5.2 die Software nutzen.

5.4        Im Übrigen gelten die Lizenzbestimmungen, die vom Kunden vor Installation der Software gesondert akzeptiert werden müssen.

6           Eigentums- und Nutzungsrechtevorbehalt

6.1        Das Eigentum an den Datenträgern, sowie sämtliche Nutzungsrechte an der gelieferten Software nebst Dokumentation bleiben bis zur vollständigen Bezahlung sämtlicher Forderungen aus der Lieferung der IFEN GmbH vorbehalten.

6.2        Der   Kunde   ist   zur   Verfügung  über   die   unter   dem   Eigentumsvorbehalt  stehenden Datenträger sowie die Übertragung der Nutzungsrechte nicht befugt. Bei Pfändungen oder Beschlagnahmen hat der Kunde die IFEN GmbH unverzüglich schriftlich zu unterrichten und hat Dritte auf den Eigentumsvorbehalt der IFEN GmbH unverzüglich in geeigneter Form hinzuweisen.

6.3        Bei Zahlungsverzug des Kunden ist die IFEN GmbH berechtigt nach vorheriger Fristsetzung, sofern diese nicht nach den gesetzlichen Bestimmungen entbehrlich ist, vom Vertrag zurückzutreten und die Software zurückzufordern, sowie die Einstellung der Nutzung der Software zu verlangen. Weitere Ansprüche der IFEN GmbH, insbesondere Schadensersatzansprüche neben dem Rücktritt bleiben hiervon unberührt. Der Kunde ist zur Herausgabe der Originalversion, sowie zur Herausgabe oder Vernichtung sämtlicher Kopien verpflichtet.

7.           Sachmängelhaftung

7.1        Die  IFEN  GmbH  gewährleistet  für  einen  Zeitraum  von  12  Monaten  ab  dem  Tag  der Ablieferung der Soft- bzw. Hardware, dass von der IFEN GmbH gelieferte Soft- bzw. Hardware bei Inbetriebnahme frei von Material- und Programmierungsfehlern ist und entsprechend einem eventuell begleitenden Produkthandbuch arbeitet. Die Verkürzung der gesetzlichen Gewährleistungsfrist gilt nicht für den Fall, dass die IFEN GmbH oder einer ihrer Erfüllungsgehilfen den Fehler arglistig verschwiegen hat.

7.2     Es  ist  dem  Kunden  bekannt,  dass  Softwareprodukte  unter  einer  ständigen Weiterentwicklung stehen und Programmfehler auftreten können. Programmfehler stellen dann keinen Mangel der Software dar, wenn sie nicht auf einen Fehler in der Programmierung zum Zeitpunkt der Übergabe der Software oder auf einen mangelhaften Datenträger der IFEN GmbH zurückzuführen sind. Dies gilt auch für die Firmware von Hardwareprodukten.

7.3        Treten während der Mängelfrist Fehler bei Installation oder Programmbedienung auf, ist die IFEN GmbH unverzüglich zu unterrichten. Diese wird nach Zugang der Anzeige unverzüglich den Fehler untersuchen und für den Fall der berechtigten Mängelrüge wahlweise Ersatzlieferung oder Nachbesserung leisten. Der Kunde hat der IFEN GmbH zum Zwecke der Nacherfüllung alle notwendigen Informationen über die bisherige Verwendung und Bedienung zu geben und ihr den Zugriff die Möglichkeit auf die Soft- oder Hardware vor Ort oder über Datenfernverbindung zu ermöglichen. Auf Grund der Komplexität der Softwareprogrammierung sind der IFEN GmbH je nach Art des Mangels mehrere, mindestens jedoch zwei Nacherfüllungsversuche einzuräumen. Die Nacherfüllung gilt erst dann als fehlgeschlagen, wenn trotz der Nacherfüllungsversuche und nach Ablauf einer vom Kunden schriftlich gesetzten angemessenen Frist zur Nacherfüllung die Software wegen des Mangels nicht erfolgreich arbeitet.

7.4        Jede weitere Gewährleistung, insbesondere dafür, dass die Software für die Zwecke des Kunden, die über die Produktbeschreibung hinausgehen, geeignet ist, wird ausdrücklich ausgeschlossen, es sei denn, die Geschäftsführung oder ein hierzu schriftlich Bevollmächtigter hat die besondere Verwendung ausdrücklich zugesichert oder den Fehler arglistig verschwiegen.

7.5        Die Lieferung einer Bedienungsanleitung in englischer Sprache ist generell zulässig, es sei denn, der Vertragsgegenstand ist bereits für den jeweiligen Markt vollständig erschlossen.

8.           Haftungsbeschränkung

8.1        In   Fällen   der   Verletzung   von   Leben,   Körper   oder   Gesundheit   und   nach   dem Produkthaftungsgesetz, sowie wenn die IFEN GmbH oder ihre Erfüllungsgehilfen oder Vertreter vorsätzlich eine Pflicht verletzt haben, haftet die IFEN GmbH unbeschränkt nach den gesetzlichen Bestimmungen.

8.2      In  allen  anderen  Fällen beschränkt  sich  die  Haftung der  IFEN  GmbH  auf  den vertragstypischen und vorhersehbaren Schaden. Soweit der IFEN GmbH, ihren Erfüllungsgehilfen oder Vertretern nur eine leicht fahrlässige Pflichtverletzung vorwerfbar ist, haftet die IFEN GmbH nur bei Verletzung wesentlicher Vertragspflichten für den vertragstypischen und vorhersehbaren Schaden.

8.3        Die  Haftung  für  Schäden  durch  den  Liefergegenstand  an  anderen  Rechtsgütern  des Bestellers, z.B. Schäden an anderen Sachen, ist ausgeschlossen, es sei denn es gilt Ziffer 8.1 oder es ist der IFEN GmbH, ihren Erfüllungsgehilfen oder Vertretern grobe Fahrlässigkeit vorwerfbar.

8.4        Im Falle einer Inanspruchnahme der IFEN GmbH aus Mängelhaftung nach Ziffer 7 oder wegen einer Pflichtverletzung nach den Ziffern 8.1 bis 8.3 ist ein Mitverschulden des Kunden angemessen zu berücksichtigen, insbesondere bei unzureichenden Fehlermeldungen oder unzureichender Datensicherung. Unzureichende Datensicherung liegt insbesondere dann vor, wenn der Kunde es versäumt hat, durch angemessene, dem Stand der Technik entsprechende Sicherungsmaßnahmen gegen Einwirkungen von außen, insbesondere gegen Computerviren und sonstige Phänomene, die einzelne Daten oder einen gesamten Datenbestand gefährden können, Vorkehrungen zu treffen.

8.5        Eine  Änderung  der  Beweislast  zum  Nachteil  des  Kunden  ist  mit  den  vorstehenden Regelungen nicht verbunden.

9.           Elektro-Altgeräte

Der Kunde stellt den Lieferanten von den Verpflichtungen nach § 10 Abs. 2 ElektroG (Rücknahmepflicht der Hersteller) und damit im Zusammenhang stehenden Ansprüchen Dritter frei. Dieser Anspruch auf Übernahme/Freistellung durch den Kunden verjährt nicht vor Ablauf von zwei Jahren nach der endgültigen Beendigung der Nutzung des Gerätes. Die zweijährige Frist der Ablaufhemmung beginnt frühestens mit Zugang einer schriftlichen Mitteilung des Kunden beim Hersteller über die Nutzungsbeendigung.

10.         Vertraulichkeit

Die    IFEN    GmbH    und    der    Kunde    verpflichten    sich    gegenseitig,   alle    Geschäfts-   und Betriebsgeheimnisse  der  anderen  Seite  unbefristet  geheim  zu  halten  und  nicht  an  Dritte weiterzugeben oder in irgendeiner Weise zu verwerten. Die Unterlagen, Zeichnungen und andere Informationen,  die  der  andere  Vertragspartner  aufgrund  der  Geschäftsbeziehung erhält,  darf dieser nur im Rahmen des jeweiligen Vertragszweckes nutzen.

11.         Erfüllungsort, Gerichtsstand und Schutzrechte

11.1     Ist der Kunde Kaufmann im Sinne des HGB, eine juristische Person des öffentlichen Rechts oder ein öffentlich-rechtliches Sondervermögen, gilt der Firmensitz Holzkirchen als Erfüllungsort und Gerichtsstand bei allen sich aus dem Vertragsverhältnis ergebenden Streitigkeiten als vereinbart. Die IFEN GmbH ist auch berechtigt, am Sitz des Kunden zu klagen.

11.2     Ohne ausdrückliche Genehmigung der IFEN GmbH ist es dem Kunden nicht gestattet, die von der IFEN GmbH erworbene Ware in Länder außerhalb der EU zu exportieren. Daneben hat der Kunde sämtliche einschlägige Exportbestimmungen, insbesondere diejenigen nach der Außenwirtschaftsverordnung sowie gegebenenfalls Regelungen nach US-Recht, zu beachten.

12.         Sonstiges

12.1     Es gilt ausschließlich deutsches Recht unter Ausschluss des UN-Kaufrechts.

12.2    Sollten einzelne Bestimmungen dieser allgemeinen Geschäftsbedingungen ganz oder teilweise unwirksam sein oder werden, so berührt dies die Gültigkeit der übrigen Bestimmungen nicht.

12.3  Nebenabreden und nachträgliche Vertragsergänzungen können nur mit der Geschäftsführung oder einem schriftlich Bevollmächtigten getroffen werden. Sie bedürfen zu ihrer Wirksamkeit der Textform.

12.4  Bei Streitigkeiten über den Inhalt einzelner Bestimmungen dieser allgemeinen Geschäftbedingungen ist für deren Auslegung ausschließlich die deutsche Textfassung heranzuziehen.

General Terms and Conditions of Business for Purchase Agreements of IFEN GmbH

 

 

1.          Validity of the Terms of Business

1.1      These Terms of Business only apply for agreements with customers who are not consumers within the meaning of §13 of the German Civil Code (BGB). They comprise all current and future agreements between IFEN GmbH and the customers that deal with the purchase of hardware, the transfer of software and the use thereof along with the associated support services in return for payment.

1.2      The customer's general terms of business shall expressly not form part of the contractual contents, even if IFEN GmbH does not expressly object to same.

2.          Concluding of agreement and performance

2.1      All offers are without engagement. An agreement shall be deemed to have been concluded with IFEN GmbH if IFEN GmbH confirms the customer's order in the form of a text.

2.2      When hardware is purchased, IFEN GmbH's primary contractual obligation shall consist of the transfer of ownership, and when software and the use thereof is transferred, it shall consist of making such software available on a data carrier or as a download, with the foregoing being in addition to granting a right of use in accordance with Point 5. Additionally, the customer can choose to conclude a service agreement having support services as its subject. 

3.          Remuneration and terms of payment

3.1      All prices are ex works exclusive of the respective legal value-added tax, as well as any costs of delivery. All of IFEN GmbH's invoices are payable immediately following receipt. Any indications of time allowed for payment on the invoice are non-binding and do not postpone the deadline for payment.

3.2      Should fulfilment of the claim to payment be endangered due to a deterioration in the customer's financial circumstances that occurs or becomes known after this agreement was concluded, IFEN GmbH can demand advance payment and immediate payment of all claims that are open, have been deferred or are not yet due. In these cases, IFEN GmbH can retain software and hardware products, which were ordered, but have not been delivered, until payment and also discontinue work on current orders from the business relationship. IFEN GmbH shall also have a claim to these rights if the customer does not effect payment despite a reminder stating reasons for default.

3.3      Neither party may assign the Agreement without the prior written consent of the other party, except that either party may, without the consent of the other, assign the Agreement to a controlled subsidiary of that party or a purchaser of all or substantially all of that party's assets used in connection with performing this Agreement, provided the assigning party guarantees the performance of and causes the assignee to assume in writing all obligations of the assignor under this Agreement.

3.4      An offset shall only be possible with recognized or legally valid counterclaims.

4.          Rights of use

4.1      The firm is granting the customer a non-exclusive right of use of the application software along with the associated documentation. The right of use only refers to the software version in the object code indicated in the order confirmation. The customer is only permitted to reproduce or copy the software within the scope of contractual use or for the purpose of producing backup copies. IFEN GmbH's written consent shall be required to reproduce or copy the documentation or software. In the case of full or partial reproduction or copying, the customer shall affix the copyright note, serial number, as well as other features serving to identify the programs and manufacturer and all other notes regarding industrial property rights in the same manner as on the original version of the software. This shall also apply to the data carriers. The customer is generally prohibited from any reconversion or conversion into a different form of expression ("reverse engineering", such as by disassembling and/or decompiling).

4.2      The customer may only permit third parties to fully or partially use the software, assign rights of use to same or otherwise make the software available to same with IFEN GmbH's written consent. This shall not apply if the customer, through its employees or agents, uses the software for its own use and if the customer ensures that the terms of use are also binding for such persons.

4.3      The customer agrees to provide information upon the company's request as to where the software is being used, the number of copies and which employees or agents are using the software according to Point 5.2.

4.4      The terms of the license, which must be accepted separately by the customer prior to installation of the software, shall apply apart from the foregoing.

5.          Reservation of proprietary rights and rights of use

5.1      IFEN GmbH shall reserve the proprietary rights to the data carriers, as well as any and all rights of use to the delivered software and associated documentation that is delivered, until all of the receivables resulting from such delivery have been paid in full.

5.2      The customer is not permitted to dispose of the data carriers specified under the reservation of proprietary rights, and is also not permitted to assign rights of use. In the case of attachment or confiscation, the customer shall inform IFEN GmbH in writing immediately and must point IFEN GmbH's reservation of proprietary rights out to third parties in a suitable form immediately.

5.3      In the event that the customer defaults in payment, IFEN GmbH is entitled to withdraw from the agreement, claim back software and demand that the software no longer be used after setting a deadline, provided such deadline is not dispensable according to legal regulations. Further claims on the part of IFEN GmbH, with this referring to claims for damage in addition to withdrawal, shall not be affected by the foregoing.  The customer is obligated to surrender the original version and to also surrender or destroy any and all copies.

6.          Confidentiality

6.1      IFEN GmbH and the customer mutually obligate one another to maintain secrecy with no limitation in time regarding all of the other party's business secrets and company secrets and not to pass same on to third parties or use same in any manner. The papers, drawings and other information which the other contracting partner receives on account of the business relationship may only be used within the scope of the respective contractual purpose.

7.          Place of fulfilment and jurisdiction and industrial property rights

7.1      If the customer is a business person within the meaning of the German Commercial Code (HGB), a legal person under public law or a public-law special fund, Holzkirchen, the company's domicile, is being agreed as the place of fulfilment.

7.2      All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce in accordance with the said Rules. The place of arbitration is Munich. The arbitral tribunal consists of 3 arbitrators. The substantive law of Germany is applicable to the dispute. The language of the arbitral proceedings is English.

7.3      The customer is not permitted to export the merchandise purchased from IFEN GmbH to countries outside the EU without IFEN GmbH's express consent.  Besides that, the customer must observe all relevant export regulations, with this applying in particular to those pursuant to the Foreign Trade and Payments Ordinance, as well as regulations pursuant to the laws of the United States, if applicable.

8.          Miscellaneous

8.1      This agreement shall be governed exclusively by German law, with UN purchase law being excluded.

8.2      In the event that individual provisions of these general terms of business are or become fully or partially invalid, such invalidity shall not affect the validity of the other provisions.

8.3      Subsidiary agreements and subsequent supplements to the agreement can only be agreed with the management or an agent with written authorization. The foregoing shall only be valid if they are in the form of a text.

General Terms and Conditions - IFEN Inc.

General Terms and Conditions of Business for Purchase Agreements of IFEN Inc.

 

1. Scope of Services

These Terms & Conditions apply to all products and service contracts of IFEN INC. (hereinafter "IFEN") with the customer (hereinafter "Customer"). IFEN shall not accept any terms and conditions of the Customer that are inconsistent or deviate from these Terms & Conditions unless IFEN expressly agrees in writing to be bound by inconsistent or different terms.

2. Product requested

A contract shall materialize only once confirmed in writing by IFEN. IFEN's Order Confirmation is authoritative for the nature and scope of the products & services to be provided by IFEN. Agreements requesting additional products to be added to standard products must be in writing. IFEN may require additional remuneration for these additional features. The scope of any and all development projects will be defined in a Technical Proposal from IFEN together with an associated quotation.

3. Price, Delivery and Payment

IFEN will not distribute products without a prior written confirmation of an order by the Customer. IFEN shall convey to the Customer an Order Confirmation including a description of the products/services to be provided, pricing confirmation, an estimated delivery date and payment details for the order. Delivery is not of the essence and any delivery dates provided are estimates only. Title in the goods remains with IFEN until receipt of full payment from the Customer. All invoicing by IFEN shall be in United States Dollars, independent of the country of origin of the Customer. All invoices by IFEN to the Customer are due to be paid within 30 days from the date of the invoice if not otherwise agreed and confirmed in the Order Confirmation of IFEN. The Customer shall bear all costs for international bank wires made to IFEN and any costs arising from wire transfers shall not be deducted from the payment amounts due to IFEN.

4. Shipment

Unless otherwise specified herein, all shipments are F.O.B. Corona, California in the USA. For Customers outside the USA shipments shall comply with the International Commercial Terms (INCOTERMS 2010) and be CIF to the nearest international airport to the Customer. IFEN's responsibility terminates when products are made available for delivery to a common carrier at IFEN's facility. The products and any risk of loss shall be considered transferred to the Customer upon availability for delivery to a common carrier. No claims for shortages, damages or failure in delivery, whether by common carrier, parcel post or otherwise, may be made by the Customer against IFEN. In the absence of written shipping instructions from the Customer, IFEN may ship products freight collect to the Customer by any common carrier which it considers satisfactory or, if appropriate, in the opinion of IFEN, by parcel post.

5. Inspection

Unless agreed otherwise in the Order, the Customer shall inspect the products within five (5) days of their being delivered. If that inspection indicates that the products are inconsistent with the invoice, the Customer shall return the products and IFEN shall have the opportunity to correct the defects within a reasonable time frame agreed on by the parties. After IFEN has had the necessary opportunities to correct the defects if the Customer is unsatisfied the Customer shall immediately return the product or shall accept the products and/or at a lower price.

6. Support and Warranty

IFEN Warrants that delivered hardware and software is free from material and programming errors for a period of twelve (12) calendar months from the date of delivery. If the customer discovers any defects the Customer must report said defects immediately to IFEN's e-mail address, support@ifen.com. The customer must provide IFEN with any and all information regarding the current use and operation of the equipment and a full description of the defect. The Customer must also provide IFEN with access the product via a remote data connection or on-site. Due to the complexity of software programming, IFEN shall be granted multiple attempts to rectify the defect. IFEN will use best efforts to rectify any and all defects in a timely manner. Warranty is invalidated if:

· The customer fails to operate the equipment in accordance with instructions in the User Manual

· Anyone other than IFEN personnel tampers with the equipment unless specifically instructed and authorized by IFEN in writing

· The customer fails to make payments when due Any further warranty that the product or software is suitable for the purposes of the Customer beyond the published product description is expressly excluded.

7. Limitation of Liability

IFEN's liability under its warranty is expressly limited to the repair, replacement, or refund of the invoice price of products, which prove to be defective in materials or workmanship within the warranty period. The repair, replacement or refund of the products shall be at IFEN's sole discretion. IFEN shall not be liable for incidental or consequential damages of any kind, including consequential damages for injury to any person. In no event Shall IFEN be liable for incidental or consequential damages arising out of or in connection with the Agreement, including without limitation, breach of any obligation or warranty. Consequential damages for purposes hereof shall include, without limitation, loss of use, income or profit, or losses sustained as the result of injury to any person, or loss of or sustained as the result of work stoppages.

8. Cancellation and Return of Product

No purchase order with respect to which IFEN has issued an Order Confirmation may be cancelled or the manufacture of the products there under suspended after the date of the sales confirmation without the sole and express written consent of IFEN. Upon cancellation or suspension at the request of the Customer, and acceptance by IFEN, the Customer shall reimburse IFEN promptly for all expenditures incurred by IFEN, including, but not limited to, hardware used, labor and engineering services, a proportionate share of direct manufacturing, engineering, selling, general and administrative expenses, and profits which would have been earned under the invoice. In addition, the Customer shall also reimburse IFEN for any extraordinary costs and other expenses attributable to such suspension or cancellation.

9. Product Modifications

The Customer acknowledges that products sold under this Agreement may be changed by IFEN at any time for various reasons, such as to improve quality, comply with applicable law, to adopt changes in materials, component sourcing or in accordance with IFEN's policy of continuous improvement. While IFEN shall provide reasonable notice of such changes whenever possible, the Customer agrees that any changes are outside of IFEN's control and do not constitute a breach of this Agreement.

10. Intellectual Property Rights

All Intellectual Property Rights, including, without limitation, all software, designs, rights in know-how, patents, any and all inventions, whether registered or unregistered, any and all other intellectual or industrial property rights in any jurisdiction, regarding IFEN products and services belong to IFEN or its licensed source. All rights of IFEN products and service in such Intellectual Property Rights are hereby reserved.

11. Rights of Use

IFEN is granting the Customer a non-exclusive right of use of the application software along with the associated documentation. The right of use only refers to the software version in the object code indicated in the Order Confirmation. The Customer is only permitted to reproduce or copy the software within the scope of contractual use or for the purpose of producing backup copies. IFEN written consent shall be required to reproduce or copy the documentation or software. In the case of full or partial reproduction or copying, the Customer shall affix the copyright note, serial number, as well as other features serving to identify the programs and manufacturer and all other notes regarding industrial property rights in the same manner as on the original version of the software. This shall also apply to the data carriers. The customer is generally prohibited from any re-conversion or conversion into a different form of expression ("reverse engineering", such as by disassembling and/or decompiling). The customer may only permit third parties to fully or partially use the software, assign rights of use to same or otherwise make the software available to same with IFEN written consent. This shall not apply if the Customer, through its employees or agents, uses the software for its own use and if the Customer ensures that the terms of use are also binding for such persons. The customer agrees to provide information upon IFEN's request as to where the software is being used, the number of copies and which employees or agents are using the software.

12. Reservation of Proprietary Rights

IFEN shall reserve the proprietary rights to the data carriers, as well as any and all rights of use of the delivered software and associated documentation that is delivered, until all of the receivables resulting from such delivery have been paid in full. The Customer is not permitted to dispose of the data carriers specified under the reservation of proprietary rights, and is also not permitted to assign rights of use. In the case of attachment or confiscation, the customer shall inform IFEN in writing immediately and must point IFEN reservation of proprietary rights out to third parties in a suitable form immediately. In the event that the customer defaults in payment, IFEN is entitled to withdraw from the agreement, claim back software and demand that the software no longer be used after setting a deadline, provided such deadline is not dispensable according to legal regulations. Further claims on the part of IFEN, with this referring to claims for damage in addition to withdrawal, shall not be affected by the foregoing. The Customer is obligated to surrender the original version and to also surrender or destroy any and all copies.

13. Confidentiality

The Customer shall maintain secrecy with no limitation, therefore the Customer shall not, disclose to any individual or entity, any confidential information relating to the business of IFEN. The Customer shall not, without prior written consent of IFEN, disclose confidential information to any person, firm or independent contractor, and the Customer shall, use its best efforts to prevent the publication or disclosure of any information concerning the business, business practices, method of sales, drawings or any of the secrets, dealings, transactions or affairs of IFEN, including, but not limited to, trade secrets, costs, or pricing practices. The Customer shall use their best efforts to cause its representatives, attorneys, accountants and advisers to whom information is disclosed to comply with the provisions of this Section.

14. Force Majeure

"Force Majeure" means any event or condition which wholly or partially delays or prevents IFEN from performing any of its obligations hereunder and is beyond the reasonable control of, and occurs without the fault or negligence of, IFEN affected thereby including, without limitation, acts of God, acts of the public enemy, insurrections, riots, labor disputes, labor or material shortages, fires, explosions, floods, breakdowns of or damages to plants, equipment or facilities, interruptions to transportation, embargoes, or orders or acts of any court or government authority having jurisdiction or any military authority. If, as a result of Force Majeure, it becomes impossible or impractical for IFEN to carry out its obligations hereunder in whole or in part, then such obligations shall be suspended to the extent necessary by such Force Majeure during its continuance. Notwithstanding the foregoing this provision shall not affect the Customer's obligation to pay money when due in accordance with the terms of this agreement.

15. Indemnification

Customer shall indemnify and hold harmless IFEN against all claims, obligations or liabilities including court costs and attorneys' fees, arising out of Customer's tortious or unauthorized acts, misrepresentations, omissions, failure to perform its obligations hereunder, or any acts not expressly authorized in writing, related to or beyond the scope of these Terms & Conditions.

16. Termination

The agreement may be terminated by IFEN and IFEN may, at its option, declare any unpaid balance and other sums payable by Customer hereunder immediately due and payable for any one or more of the following reasons: (a) if Customer fails to make payment when due; or (b) the Customer substantially breaches any other obligation of this Agreement.

17. Mediation and Arbitration

Any disputes between the parties hereto, whether arising under this agreement or otherwise, which the parties cannot resolve between themselves using good faith shall be referred to a court certified mediator of the Court in the County of the principal office of IFEN, and any mediation shall be held in the County of the principal office of IFEN. The Customer shall bear the cost of said mediation. In the event that said dispute is not resolved in mediation, the parties shall submit the dispute to a neutral arbitrator residing in the state of California. The arbitration shall be held in the State of California and the Customer shall bear the cost of said arbitration. In the event that the parties are unable to agree upon an arbitrator within 15 days of the date on which either party requests arbitration of a matter, the arbitrator shall be provided by the American Arbitration Association. The parties further agree that full discovery shall be allowed to each party to the arbitration and a written award shall be entered forthwith. Any and all types of relief that would otherwise be available in Court shall be available to both parties in the arbitration. The decision of the arbitrator shall be final and binding. Arbitration shall be the exclusive legal remedy of the parties. Judgment upon the award may be entered in any court of competent jurisdiction. If either party refuses to comply with a ruling or decision of the arbitrator and a lawsuit is brought to enforce said ruling or decision, it is agreed that the party not complying with the ruling or decision of the arbitrator shall pay all the court costs and reasonable attorney's fees (including Trial and Appellate attorney's fees) incurred in enforcing the ruling or decision of the arbitrator. Any rights of injunctive relief shall be in addition to and not in derogation or limitation of any other legal rights.

18. Status

Buyer and Supplier are separate entities. Nothing in the Order Conformation or this Agreement shall be construed as creating an employer-employee or joint venture relationship.

19. Miscellaneous

The submission of a quotation by IFEN in response to Customer's request does not constitute an expression of acceptance of any term or condition which may have been set forth in the Client's request. The terms and conditions of sale set forth herein are the only terms and conditions applicable to the sale of the products described on the face hereof if not otherwise confirmed in the Order Confirmation.

20. Notice

Any notice sent pursuant to the Order Confirmation or this Agreement shall be sent by email, receipt requested, to the email addresses on the Order Confirmation or to such email address as either party may in the future designate. A copy of any notice to the Supplier shall be also sent to IFEN Inc., 1449 Potomac Drive, Corona, CA 92882, USA together with a copy of this Agreement. Notices shall be effective upon receipt.

21. Entire Agreement

This Agreement constitutes the entire understanding of the parties and supersedes all prior discussions, negotiations, agreements and understandings, whether oral or written, with respect to its subject matter.

22. Severability

If any provision of these Terms & Conditions is held invalid, unenforceable, or void by a court of competent jurisdiction, these Terms & Conditions shall be considered divisible as to such provision, and the remainder of the Terms & Conditions shall be valid and binding as though such provision were not included in these Terms & Conditions.

23. Venue and Jurisdiction

If a lawsuit is necessary to enforce these Terms & Conditions the parties agree that jurisdiction and venue are waived and suit shall be brought in the State of California.

24. No-Waivers

The waiver by any party of any other party's breach of any provision of this Agreement shall not operate nor be construed as a waiver of any subsequent breach, and the waiver by any party to exercise any right or remedy shall not operate nor be construed as a waiver or bar to the exercise of such right or remedy upon the occurrence of any subsequent breach. No action on the part of either party to this Agreement shall be interpreted as waiver unless such action shall be in writing.

25. Compliance with Law

Each party shall comply with all state, federal and local laws and regulations applicable to its performance hereunder.

26. Governing Law

This Agreement shall be governed by the laws of the State of Delaware (without regard to the laws that might be applicable under principles of conflicts of law) as to all matters, including, but not limited to, matters of validity, construction, effect and performance.

End User License Agreement for IFEN Software

By purchasing an IFEN product including Software and/or downloading and using the Software, You agree, without reservation, to be bound by the terms of this End User License Agreement for IFEN Software (EULA). If You accept the terms and conditions in this EULA on behalf of a company or other legal entity, You warrant (‘guaranty’) that You have full legal authority to accept the terms and conditions in this EULA on behalf of such company or other legal entity, and to legally bind such company or other legal entity.

1. Definitions

1.1 - In this EULA the expressions below shall have the meaning assigned to them in this clause, unless the context requires otherwise:

•          “IFEN” IFEN GmbH, Alte Gruber Strasse 6, 85586 Poing, Germany: (HRB) Amtsgericht München, HRB 119394; VAT number: DE192148944;

•          “Documentation” the detailed information about the Software, its features and the system requirements as made available on the website of IFEN, as amended from time to time;

•          “License Key” a unique code provided by IFEN in form of a USB dongle, which enables You to operate the Software by plugging in the USB dongle into the corresponding Control Computer of the system purchased by You and to subsequently use the Software during the applicable license term;

•          “Software” any software application and/or all of the contents of the files and/or other media, including software setup files, licensed to You by IFEN, including any Updates;

•          “Updates” any modified versions and updates of, and additions to the Software (including upgrades of the Software);

•          “Use” the access, download, install, copy or get benefit from using the Software in accordance with the documentation.

•          “You” you, the final and ultimate user of the Software or the authorized representative of a company or other legal entity that will be the final and ultimate user of the Software, and the company or other legal entity that will be the final and ultimate user of the Software, if applicable.

General

1.2 - This EULA applies to any licenses granted to You by IFEN for the use of the Software.

1.3 - By purchasing a product from IFEN, which includes a License Key for the Software, and/or downloading updates and using the Software, You enter into this EULA with IFEN.

1.4 - This EULA may be modified from time to time. IFEN will notify you of such modifications on its website or otherwise, e.g. by using the email address used for the provision of the product or License Key updates.

2. License

2.1 - IFEN grants You a non-exclusive, non-transferable, limited license to Use the Software in accordance with this EULA. IFEN reserves all rights not expressly granted to You.

2.2 - IFEN is and remains the owner of any intellectual property rights with respect to the Software. You shall not acquire any ownership to the Software as result of Your purchase of the product or Your Use of the Software.

2.3 – The license to Use the Software applies for the life-time of the product You purchased and does not need to be renewed.

3. Permitted use and restrictions

3.1 - You shall Use the Software in accordance with applicable laws and shall not:

a.         Rent, lease, lend, sell, redistribute, sublicense or otherwise commercially exploit the License Key, the Software version;

b.         assign the License Key, the Software version without prior written approval of IFEN;

c.         Use the Software version for any unlawful or illegal activity, or to facilitate an unlawful or illegal activity;

d.         delete or alter any disclaimers, warnings, copyright or other proprietary notices accompanying the Software; or

e.         copy (except as otherwise provided in this EULA), adapt, translate, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify or create derivative works of the Software and the License Key or any parts thereof, except to the extent permitted by applicable law.

3.2 - IFEN may modify the Software at any time at its sole discretion and without notice to You, for example to comply with applicable law or a court order, to avoid a third party infringement claim or to provide Updates and upgrades.

4. Maintenance and support

4.1 - IFEN will notify You of any available Updates and upgrades.

4.2 - You will be entitled to receive Updates free of charge during the support period of the product. In order to receive Updates after this initial support period, You will need to renew your support contract.

4.3 - You may need to pay an additional fee in order to be able to add additional GNSS signals or Software options to the product you purchased.

4.4 - Any maintenance and support provided by IFEN, including the provision of Updates and upgrades, will be provided in an adequate way on an “as is” basis without any warranty (‘guaranty’), as soon as reasonably practicable, subject to availability of personnel.

5. Use of data

5.1 - IFEN may process personal data with respect to You, if and to the extent necessary to provide the License Key update, to provide maintenance and support to You with respect to the Software and to comply with its obligations under this EULA.

6. Disclaimer

6.1 - You Use the Software at Your own risk and the entire risk as to satisfactory quality, performance and accuracy is with You.

6.2 - The Software and accompanying documentation are provided on an “as is” and “as available” basis without warranty (‘guaranty’) - express or implied- of any kind, and IFEN specifically disclaims the warranty of fitness for a particular purpose. No oral or written advice given by IFEN, its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of this warranty and You may not rely upon such information or advice.

7. Liability limitation

7.1 -The liability of IFEN and any third party that has been involved in the creation, production, or delivery of the Software for all damages arising out of or in any way relating to the License Key, the Software and/or this EULA is limited. The corresponding IFEN Terms and Conditions are available on request.

7.2 - IFEN and any third party that has been involved in the creation, production, or delivery of the Software are under no circumstances liable for consequential or indirect damages (including damage for loss of profit, business interruption, loss of data, and the like arising out of the use or inability to use the Software).

8. Termination

8.1 - This EULA will continue to be in force until the expiry of the lifetime or the destruction of the product the Software is installed on / used for.

8.2 - You acknowledge that the provisions of this EULA, which by their nature are intended to survive termination, will remain in effect after termination of this EULA.

9. Governing law and disputes

9.1 - This EULA shall be governed by and construed in accordance with the laws of Germany, excluding its conflicts of law rules.

9.2 - Any dispute between IFEN and You shall exclusively be submitted to the competent court of the International Chamber of Commerce in Munich, Germany.
